This Content Submission Agreement is entered between www.hesaysshesaysadvice.com ("He Says, She Says Advice") and you concerning the terms for the use of a certain piece of content ("Content") on the He Says, She Says Advice website: HeSaysSheSaysAdvice.com

1. Grant of Rights: By submitting any content to HeSaysSheSaysAdvice.com, you automatically grant HeSaysSheSaysAdvice.com a nonexclusive, royalty-free, worldwide, perpetual, sublicensable (through multiple tiers), license to use, modify, copy, distribute, transmit, publicly display, publicly perform, publish, adapt, create derivative works of, distribute, transfer or sell any such content, for any purpose, including commercial purposes, without any payment to you, in any type of media or in any form now known or later developed.

2. Retention of Rights: During the term of agreement (perpetual), you retain all rights except as granted to HeSaysSheSaysAdvice.com in Section 1 above.

3. Fees: Submission of Contents to HeSaysSheSaysAdvice.com is free, and shall always be free unless explicitly stated in amendments to this Agreement. HeSaysSheSaysAdvice.com is under no obligation to publish the works.

4. Acknowledgment: HeSaysSheSaysAdvice.com agrees to acknowledge you as the author of the Content. However, in the event that you do not want your name published on the website this can be arranged through emailing HeSaysSheSaysAdvice.com via the forms on the Contact page.

5. Acceptance: Your Content must be delivered complete and in a format that is acceptable to HeSaysSheSaysAdvice.com. HeSaysSheSaysAdvice.com reserves the right to adapt or edit the Content as it deems appropriate. All Content is subject to final acceptance by HeSaysSheSaysAdvice.com.

6. Representation: You represent and warrant to HeSaysSheSaysAdvice.com that: (1) the Content is original and that you are the sole creator of the Content and have full power and authority to enter into this Agreement; (2) the Content does not, and if published will not, infringe upon any copyright, trademark or other right of any third party; and (3) the Content is not inappropriate, which includes, but is not limited to, being of a strongly sexually explicit nature, insighting racial prejudice and containing severely unsuitable language. You agree to cooperate with HeSaysSheSaysAdvice.com in its defense of any action related to the Content. In addition, you automatically waive and give up any claim that any use of such content violates any of your rights, including privacy rights, publicity rights, moral rights or any other right, including the right to approve the way HeSaysSheSaysAdvice.com uses such content.

7. Assignment: You may not assign any of your rights under this Agreement. HeSaysSheSaysAdvice.com may assign its rights in this Agreement with notice to you.

8. Miscellaneous: You agree that this is the entire Agreement between you and HeSaysSheSaysAdvice.com related to the Content. HeSaysSheSaysAdvice.com reserves the right to modify this agreement, without prior warning, however all such amendments shall be posted on the page. No term of this Agreement shall be waived except by a subsequent writing signed by you and HeSaysSheSaysAdvice.com. Any disputes related to this Agreement shall be governed by the laws of the United States of America and you consent to the jurisdiction of the courts of the United States of America. By submitting your Content you understand that the HeSaysSheSaysAdvice.com web site contains facts, views, opinions, statements and recommendations of third party individuals and organizations. You further understand that HeSaysSheSaysAdvice.com or any of its affiliates do not represent or endorse the accuracy or reliability of any advice, opinion, statement or other information displayed, uploaded or distributed through the web site. You acknowledge that any reliance upon any such opinion, advice, statement or information shall be at your sole risk.
